1. Acceptance of Terms

Welcome to Horizon Bridge Academy Limited (“HBA,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Horizon Bridge Academy website [Insert Website URL], our LearnWorlds educational platform, our online courses, and our institutional B2B/B2G consulting services (collectively, the “Services”).

By accessing, browsing, or using our Services, or by purchasing a course or engaging our consulting services, you (“User,” “Client,” or “you”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

Horizon Bridge Academy Limited provides two distinct categories of services:

Educational Services (The Academy): Online courses, financial modeling toolkits, masterclasses, and educational content delivered via our digital platform.
Institutional Consulting Services (B2B/B2G): Bespoke financial modeling, DFI pitch preparation, capacity building, and project finance architecture services provided to organizations, ministries, and institutional clients.

3. Eligibility and Account Registration

Age Requirement: You must be at least 16 years of age to use our Educational Services, and at least 18 years of age (or the legal age of majority in your jurisdiction) to enter into binding agreements for our Institutional Consulting Services.
Account Security: You are responsible for maintaining the confidentiality of your login credentials. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Educational Services and Intellectual Property

Limited License: Upon payment of applicable fees, HBA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the course materials, videos, and downloadable tools (including the HBA Grassroots Viability Calculator, Pro-Forma Suite, and Bankable Master Model) for your personal, internal, or professional educational use.
Ownership: All content, frameworks, financial models, methodologies (including the “Emancipation Architecture” and “Bridge Model”), and materials provided by HBA are and shall remain the exclusive intellectual property of Horizon Bridge Academy Limited.
Prohibited Use: You may not reproduce, distribute, modify, create derivative works of, publicly display, or resell any HBA educational materials, proprietary Excel models, or course content. Sharing your login credentials or distributing downloaded toolkits to third parties is strictly prohibited and will result in immediate account termination.

5. Institutional Consulting Services (B2B/B2G)

Scope of Work: Specific deliverables, timelines, and milestones for Institutional Consulting Services will be outlined in a separate, mutually executed Proposal or Service Agreement. In the event of a conflict between these Terms and a specific Service Agreement, the Service Agreement shall prevail.
Client Responsibilities: For HBA to deliver accurate financial models and DFI pitch materials, the Client must provide timely, accurate, and complete data regarding their project, financials, and operational assumptions. HBA is not liable for delays or inaccuracies in deliverables resulting from incomplete or incorrect Client data.

6. Crucial Disclaimers (Please Read Carefully)

Not Financial, Legal, or Investment Advice: The content, tools, and consulting services provided by Horizon Bridge Academy Limited are for educational and structural purposes only. We are financial modelers and educators, not licensed fiduciary financial advisors, attorneys, or certified public accountants acting in a fiduciary capacity. Our Services do not constitute formal financial, legal, tax, or investment advice. You should consult with qualified, licensed professionals in your jurisdiction before making major financial or investment decisions.
No Guarantee of Funding or Capital: While our methodologies, financial models, and pitch preparations are engineered to meet the rigorous standards of Development Finance Institutions (DFIs) such as the CDB, IDB, and Green Climate Fund, Horizon Bridge Academy Limited does not guarantee that any project will secure funding, grants, or capital. The approval of capital is solely at the discretion of the respective lending or granting institutions and depends on numerous factors outside of HBA’s control.
Forward-Looking Statements: Our financial models contain forward-looking statements and projections based on assumptions provided by the User/Client. Actual financial results will vary, and HBA makes no warranties regarding the accuracy of future financial projections.

7. Fees, Payments, and Refunds

Fees: All fees for courses and services are payable in advance in the currency specified at checkout (typically USD). Prices are subject to change without notice, though existing enrollments will be honored at the price paid.
Educational Services Refund Policy: Due to the immediate digital nature of our course materials and proprietary toolkits, all sales for Tier 1, Tier 2, and Tier 3 courses are final and non-refundable, except as required by applicable law.
Institutional Consulting Refunds: Refund policies for B2B/B2G custom proposals are governed by the specific terms of the executed Service Agreement and are typically structured around milestone-based deliverables.

8. User Conduct

You agree not to use the Services to:

Violate any local, national, or international law or regulation.
Infringe upon the intellectual property rights of HBA or any third party.
Transmit any malware, viruses, or harmful code.
Scrape, data-mine, or use automated systems to extract content or data from our platform.
Misrepresent your identity or your organization’s affiliation when engaging our B2B/B2G services.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Horizon Bridge Academy Limited, its directors, employees, partners, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, loss of data, loss of funding opportunities, or business interruption, arising out of or in connection with your use of the Services.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount of fees paid by you to HBA in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Horizon Bridge Academy Limited and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of a third party, including intellectual property rights.

11. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Dominica, without regard to its conflict of law principles.
Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to these Terms shall first be attempted to be resolved through good-faith mediation. If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the rules of the Dominican arbitration rules, conducted in English.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the “Last Updated” date at the top of this page, and in some cases, by sending an email to the address associated with your account. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
